First Run Broadcast: August 16 & 17, 2016
1:00 p.m. (60 minutes)

This program will discuss the current state of real estate finance from the perspective of developers, promoters, buyers and borrowers. It will cover the practical aspects of negotiating and drafting equity, debt, and mixed finance deals. Major issues and traps in negotiating first mortgages, including personal guarantees and carve-outs, will be discussed in detail. The program will also cover mezzanine finance, credit enhancement, leasehold finance, and how financing alternatives have changed in a stronger market. This program will provide you with a real-world guide to major issues in negotiating and drafting real estate finance agreements.

Day 1 – August 16, 2016:

• Review of current state of real estate finance - availability of equity investment and credit
• Major issues of negotiating first mortgages
• Application and commitments
• Personal guarantees and negotiating non-recourse carve-outs with lenders
• Defeasance and prepayment premiums

Day 2 – August 17, 2016:

• Use of Single purpose entities for finance purposes
• Uses of mezzanine financing and drafting issues
• Structuring issues in equity finance
• Credit enhancement
• Leasehold finance


Randall C. Single is a partner in the Palo Alto office of Greenburg Traurig, LLP, where he has an extensive real estate practice.  He advises developers, promoters and borrowers on real estate joint ventures, financings, acquisitions and dispositions, loan and lease workouts, and development projects.  Before entering private practice, he served as general counsel to Divco West Properties, LLC and Page Mill Properties, LP. He was recognized in 2016 by “Best Lawyers in America” for real estate law.  Mr. Single earned his B.A., magna cum laude, from Illinois Wesleyan University and his J.D. from Stanford Law School.
