Management Agreements in Real Estate - 1 CLE hour

Real estate management agreements – for office buildings, apartment buildings, and retail and industrial space – are often “form” documents presented to property owners by agents, brokers and managers themselves.  They are the product of the (often adverse) experience of the manager and strongly favor the manager.  They may also highlight the greater sophistication of the manager over the property owner. Carefully reviewing – or drafting – these agreements can determine the financial success or failure of a project.  But because they deal with uncertainty – unanticipated services required of the manager, unbudgeted expenses, tort and other liability – they also involve great risk.  This program will provide you with a real-world guide to the most important and highly negotiated provisions of commercial real estate management agreements.  

Reviewing and drafting real estate management agreements 
Scope of duties and how the performance of additional duties are compensated 
Employees of manager – identity, on-site presence, rights of termination, and vicarious liability
Budgeting and payment of expenses – process, insurance, taxes, unexpected items 
Collection of rents & handling of funds – rights of control, accounting, and escrow
Utilities – named parties and power to negotiate rates
Leasing and advertising – tenant standards, credit checks & separate compensation 
Termination of the agreement and sale of the project

is of counsel and a former partner in the Houston office Norton Rose Fulbright, LLP.  He has more than 40 years’ experience in real estate law practice.  He formerly served as chair of the ABA Real Property, Probate and Trust Law Section, president of the American College of Real Estate Lawyers, and chair of the Anglo-American Real Property Institute.  He has been named a "Texas Super Lawyer" in Real Estate Law by Texas Monthly magazine and is listed in Who’s Who in American Law.  He is co-editor of Modern Banking and Lending Forms (4th Edition), published by Warren, Gorham & Lamont.  He received his B.B.A. from the University of Texas and his LL.B. from the University of Texas School of Law.
